1Introduction

Welcome to the Brinq platform. These Terms & Conditions constitute a legally binding agreement between you (Merchant/Partner) and Nebucode IT, the owner and operator of the Brinq platform. By using our POS system, e-commerce stores, or any cloud services we provide, you acknowledge that you have read, understood, and fully agree to these terms.

2Account & Registration

• You must be at least 18 years old or possess the legal capacity and commercial capacity to represent your business entity.
• You agree to provide accurate, current, and complete information (including CR and Tax Number if applicable) during registration, and to keep it updated.
• You are solely responsible for maintaining the confidentiality of your password and your staff (cashier) accounts, and for all activities that occur under your account.

3Subscriptions & Billing

• Brinq platform services are provided on a paid subscription basis (SaaS). Billing begins after the free trial period ends (if applicable).
• The platform does not deduct any percentage (0% commission) on your store's sales.
• In case of delayed renewal payment, the platform reserves the right to suspend your access to services or temporarily deactivate your stores until payment is settled.
• Subscription payments are non-refundable once the plan is activated and the service is used, except as required by applicable law.

4E-Invoicing & ZATCA

As a merchant operating in the Kingdom of Saudi Arabia, you understand that compliance with the Zakat, Tax and Customs Authority (ZATCA) requirements is your sole responsibility.

• Brinq provides the technical tools to issue e-invoices (Phase 2) compliant with the Authority's requirements.
• You must enter your correct Tax Number, registered name, and onboard your devices to issue legal tax invoices.
• The platform bears no legal liability or fines resulting from your entry of incorrect tax data or failure to issue invoices correctly to consumers.

5Online Payment Gateways

• The platform provides independent API integration with payment gateways (such as Telr and SNB).
• Funds collected from your customers are transferred directly to your bank account linked to the payment gateway. The platform does not hold, transfer, or interfere with sales funds at all.
• You agree to comply with the terms and conditions of the payment service provider (payment gateway) you select.

6Store Content & Prohibited Items

You agree not to use the Brinq platform to sell or promote any products or services that violate the laws of the Kingdom of Saudi Arabia and the countries in which you operate.

• Selling prohibited items, weapons, unlicensed medicines, or offering fraudulent services is strictly prohibited.
• You own the rights to all data, products, and images you upload to your store.
• The platform reserves the right to suspend your store without prior notice if any illegal or suspicious activity is detected.

7Service Availability & Support

• We strive to keep the platform running at 99.9% uptime, but we do not guarantee uninterrupted service due to emergency maintenance or hosting issues beyond our control.
• Technical support is provided based on your subscription plan tier, and is limited to technical issues related to the platform's operation.

8Privacy & Data Security

We respect the privacy of your data and your customers' data. Passwords are encrypted and databases are protected with the highest security standards.

• We do not sell or share your customers' data or sales records with any third party for marketing purposes.
• Upon closing your account or failure to renew your subscription for an extended period, the platform reserves the right to delete store data to free up cloud space according to our data retention policy.

9Modification of Terms

We reserve the right to update or modify these terms at any time. You will be notified of material changes via email or the dashboard. Your continued use of the service after modifications constitutes your acceptance of the new terms.

10Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws and regulations in force in the Kingdom of Saudi Arabia. In the event of any dispute, the competent courts in Riyadh shall have jurisdiction.
